Operator Partnership Agreement

1. Purpose of the Agreement
This agreement defines the terms of the partnership between Tiko Technologies SARL (hereinafter "Tiko") and the transport company (hereinafter "the Operator") for the distribution of land transport tickets via the Tiko platform.
Tiko provides the Operator with a digital platform enabling online ticket sales, departure management, booking tracking, and electronic passenger boarding.
2. Eligibility Requirements
- Be a legally constituted and registered transport company in Burkina Faso (valid RCCM).
- Hold a transport license issued by the Ministry of Transport of Burkina Faso.
- Possess a vehicle fleet compliant with current safety standards (up-to-date technical inspection).
- Have civil liability insurance covering passengers and transported goods.
3. Operator Obligations
- Provide accurate and up-to-date information on routes, schedules, fares, and vehicle capacity.
- Ensure adherence to departure times displayed on the platform, except in cases of force majeure.
- Maintain service levels in accordance with Tiko standards (cleanliness, comfort, safety, punctuality).
- Use the Tiko electronic boarding system (QR code scan) to validate passengers.
- Notify Tiko of any cancellation or departure change at least 2 hours before the scheduled time.
- Provide an operational contact point reachable during service hours (6am-10pm).
4. Tiko Obligations
- Ensure proper functioning and availability of the booking platform (target 99.5% uptime).
- Provide a comprehensive operator dashboard for managing departures, bookings, and finances.
- Process passenger payments and remit amounts due within agreed timeframes.
- Provide dedicated technical support for any questions related to platform usage.
5. Commission Model
Tiko charges a commission on each ticket sold through the platform. The standard commission rate is 8% of the pre-tax ticket price, individually negotiated based on volume and partnership terms.
The commission covers platform fees, mobile money payment processing, customer support, and management tools provided to the Operator.
The commission rate may be reviewed annually by mutual agreement between the parties.
6. Financial Settlement
Tiko remits amounts due to the Operator on a weekly cycle, every Friday for the previous week's transactions (Monday to Sunday).
Remittances are made by bank transfer or mobile money as chosen by the Operator. A detailed statement accompanies each remittance.
In the event of a passenger refund, the amount is deducted from the next remittance to the Operator, net of Tiko's commission.
7. Data and Intellectual Property
Passenger data collected via Tiko remains the property of Tiko. The Operator has access to information necessary for transport execution (name, seat, booking reference).
The Operator authorizes Tiko to use its name, logo, and commercial information on the platform for promotion and ticket sales purposes.
8. Liability
The Operator is solely responsible for the safety and quality of transport services provided to passengers. Tiko acts exclusively as a technical intermediary.
Each party is liable for damages caused by its fault or negligence. Tiko's liability is limited to the amount of commissions received during the preceding 12 months.
9. Duration and Termination
This agreement is entered into for an indefinite period, with a 3-month trial period. Either party may terminate the agreement with 30 days' written notice.
In case of serious breach (failure to comply with safety standards, fraud, repeated payment defaults), Tiko reserves the right to immediately suspend the Operator's access to the platform.
Upon termination, amounts due to the Operator for tickets already sold will be remitted within 15 business days.
10. Dispute Resolution
Any dispute relating to this agreement shall first be resolved amicably. Failing agreement within 30 days, the parties shall submit to the Ouagadougou Arbitration Center.
This agreement is governed by Burkinabe law. The courts of Ouagadougou have jurisdiction in case of dispute.
